Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Perfoin platform and website operated by Woways. By creating an account or using the service, you agree to these Terms.

1. Agreement

If you use the service on behalf of a company, you represent that you are authorised to bind that company, and "you" refers to that company. If you do not agree to these Terms, do not use the service.

2. The service

Perfoin is a multi-tenant work & performance management platform. We may add, change or remove features over time. We aim for high availability but do not guarantee the service will be uninterrupted or error-free.

3. Accounts & eligibility

• A company administrator creates the tenant and is responsible for the users they add and the access they grant.
• You must provide accurate information, keep credentials secure, and are responsible for activity under your account.
• You must be at least 18 and legally able to enter into these Terms.

4. Plans, free trial & billing

• Tiers. The service is offered in tiers — Free, Basic, Pro, Advanced and Custom — with per-seat pricing billed monthly or yearly. Features available on each tier are described on our pricing page and may change.
• Free trial. A free trial (currently 1 day, up to 2 users) may be offered to evaluate the platform. We may modify or end trials at any time.
• Activation. Paid plans are activated by arrangement with us. Fees, taxes and any volume discounts are as quoted for your plan. Unless stated otherwise, fees are non-refundable for the period paid.

5. Acceptable use

You agree not to misuse the service, including by: breaking the law; infringing others' rights; uploading malicious code; attempting to gain unauthorised access; interfering with the platform's operation; or reselling the service without permission.

6. Your content & data

You retain ownership of the data you put into the platform. You grant us the rights needed to host and process it to provide the service. Our handling of personal data is described in the Privacy Policy. You are responsible for the lawfulness of the data you upload and for obtaining any necessary consents from your workforce.

7. Intellectual property

The platform, its software, design and content (excluding your data) are owned by us or our licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription.

8. Third-party services

The service may integrate with third-party services (e.g. Google Calendar/Meet) that you choose to connect. Your use of those services is governed by their own terms.

9. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special or consequential damages, or for loss of profits or data. Our total liability for any claim will not exceed the amount you paid us for the service in the 12 months before the claim.

11. Suspension & termination

We may suspend or terminate access for breach of these Terms or to protect the service or its users. You may stop using the service at any time. On termination, your right to use the service ends; data handling on closure follows the Privacy Policy.

12. Governing law

These Terms are governed by the laws of India, and the courts of your registered jurisdiction have exclusive jurisdiction, unless otherwise agreed in a signed contract. (Confirm the exact jurisdiction with counsel.)

13. Changes to these Terms

We may update these Terms. Material changes will be reflected by the "Last updated" date and, where appropriate, notified in-product. Continued use after changes means you accept them.
